1. Acceptance of Terms

Welcome to Iponify ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our financial management platform, website, and mobile applications (collectively, the "Service"). By accessing or using Iponify, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Iponify is a financial management platform designed for couples, families, Overseas Filipino Workers (OFWs), and expats to manage shared household finances.

2. Description of Service

Iponify provides tools for shared household finance management, including but not limited to:

• Shared budget management for couples and families
• Remittance tracking and management for OFWs
• Family allowance system with spending visibility
• Multi-household management for OFWs and expats
• Paluwagan (rotating savings) group management
• Debt payoff calculator and tracking
• Savings challenges (Ipon Challenge)
• Multi-currency expense tracking

Important: Iponify is a financial management and tracking tool. We are not a bank, remittance service, investment platform, or lending institution. We do not hold, transfer, or invest your money. We help you track and manage your finances.

3. Eligibility

• You must be at least 18 years old to use Iponify.
• You must have the legal capacity to enter into binding contracts.
• You may not use Iponify if you are prohibited from receiving services under applicable law.
• If you are using Iponify on behalf of a household, you represent that all household members have consented to these Terms.

4. Account Registration and Security

To use Iponify, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Maintain the security of your password and account.
• Not share your account credentials with unauthorized persons.
• Promptly notify us of any unauthorized access to your account.

You are responsible for all activities that occur under your account. If you invite family members or other users to join your household, you are responsible for their access and use of the Service through your invitation.

5. Plans and Billing

Iponify offers the following subscription plans:

By subscribing to a paid plan, you authorize us to charge your payment method at the start of each billing period. Subscription fees are billed in Philippine Pesos (PHP) and may be converted by your payment provider.

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No partial-month refunds are provided.

6. Refund Policy

Due to the digital nature of our service, all sales are final and non-refundable, except where required by Philippine consumer protection law. If you experience a technical issue that prevents you from using the Service, please contact us at [email protected] and we will work to resolve the issue. In cases of service outage lasting more than 7 consecutive days, we may provide pro-rated credits at our discretion.

7. Acceptable Use

You agree not to use Iponify to:

• Engage in any fraudulent, illegal, or unauthorized activity.
• Create false accounts or misrepresent your identity.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Upload viruses, malware, or other malicious code.
• Use the Service to operate illegal lending schemes, Ponzi schemes, or unregistered investment programs.
• Harvest or collect personal data of other users without their consent.
• Interfere with or disrupt the Service or servers.
• Reverse engineer, decompile, or disassemble any part of the Service.

We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.

8. Your Data and Privacy

Your financial data belongs to you. We will never sell your personal information to third parties. You can export your data at any time in JSON format from Settings, or request permanent deletion of your account and all associated data. Our data handling practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference. We comply with the Philippines Data Privacy Act (R.A. 10173) and are aligned with GDPR principles.

9. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, software, and the overall look and feel — are owned by Iponify and are protected by Philippine and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

The calculations, projections, and recommendations provided by Iponify are for informational purposes only and should not be relied upon as professional advice. Always consult with a qualified financial advisor before making financial decisions.

We do not guarantee the accuracy, completeness, or reliability of any financial calculations, exchange rates, or projections. Use our services at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IPONIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Paluwagan Feature — Specific Terms

Iponify's paluwagan feature is a tracking and management tool for rotating savings groups. By using this feature, you acknowledge:

• Iponify does not hold, transfer, or manage any funds within paluwagan groups.
• All financial transactions between paluwagan members occur outside of Iponify.
• Iponify is not responsible for disputes between paluwagan members or for any losses incurred.
• You are responsible for verifying the identity and trustworthiness of paluwagan group members.
• Iponify's paluwagan feature is not an investment scheme and does not guarantee any returns.

13. Termination

You may terminate your account at any time by deleting it from your account settings. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases immediately. You may request a full export of your data before deletion. We will permanently delete your data within 30 days of account deletion, except where retention is required by law.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the Service at least 30 days before they take effect. Your continued use of Iponify after the changes become effective constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines. Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the jurisdiction of the courts of Manila, Philippines.
